Notice of General Meeting

Following the successful merger of Just Retirement Group plc ('JRG plc') with Partnership Assurance Group plc ('PAG plc') to form JRP Group plc, the Company changed its accounting reference date from 30 June to 31 December. The Annual General Meeting of the Company is not due be held until May 2017 (the '2017 AGM') and as a result certain authorities granted to the directors at the Company's annual general meeting held on 23 November 2015 will expire on 31 December 2016. A general meeting (the 'General Meeting') is being convened to renew such authorities until the end of the 2017 AGM.

The Company announces that the General Meeting will be held on the 5(th) Floor, 110 Bishopsgate, London, EC2N 4AY on 7 December 2016 at 12:00 noon. The following documents have been posted out to shareholders:

   --      Notice of the General Meeting 
   --      Form of Proxy for the General Meeting 

Copies of the documents mentioned above have been submitted to the National Storage Mechanism and will shortly be available for inspection at www.morningstar.co.uk/uk/nsm.
