                            Further Re EGM Circular                            

Further to the EGM circular of 23rd May 2006, Lennox Holdings PLC (the
"Company") has been contacted by AGN Satorra, Planas & Asociados SL ("AGN
Satorra"), the Spanish accounting firm which was named in the circular.

AGN Satorra, was proposed by Peter Voller as the Company's future auditors,
however it has requested that shareholders are made aware of its position prior
to the EGM on 16th June 

AGN Satorra contacted Mr Voller on 10th May declining the proposed role of
auditors on the basis that as a Spanish registered firm it cannot carry out any
type of audit work for a UK registered company. Furthermore AGN Satorra, did
not provide any form of authorization for its name to be used in relation to
this matter

AGN Satorra has advised that, acting on behalf of AGN Shipleys in London, it
was responsible for carrying out specific tax due diligence work on the
accounts of only one of the three companies which formed the European Supplies
Group.
