MOTO GOLDMINES LIMITED ISSUES MANAGEMENT INFORMATION CIRCULAR FOR SPECIAL 
MEETING OF REGISTERED HOLDERS 
 
 
PERTH, WESTERN AUSTRALIA - Moto Goldmines Limited ("Moto") announces that it has 
released the Management Information Circular and related materials for the 
special meeting of the registered holders ("Moto Shareholders") of the issued 
and outstanding common shares of Moto ("Moto Shares") and the holders of 
outstanding options to acquire Moto Shares ("Moto Optionholders"). The special 
meeting is to be held on October 9, 2009 at 10.00am (Pacific time) to consider 
the proposed combination with Randgold Resources Limited ("Randgold"). 
 
 
The Management Information Circular has been prepared by Moto, with information 
from Randgold, and has been mailed to the Moto Shareholders and Moto 
Optionholders. Moto confirms that it has filed the Management Information 
Circular, together with a Notice of Meeting, a Form of Proxy and a Letter of 
Transmittal and Election Form under the Company's profile on SEDAR at 
www.sedar.com. In addition this information is being placed on the Company's 
website at www.motogoldmines.com. 
 
 
The Management Information Circular provides full text of the special resolution 
which is to be considered and details of the proposed arrangement with Randgold. 
 Moto has been advised by Randgold that it is Randgold's intent to have the 
trading of Moto Shares on both the TSX and on AIM cancelled if shareholders 
approve of the arrangement with Randgold and it is thereby successful in 
acquiring 100% of the Moto Shares.
