Capitalisation Issue of B Ordinary Shares

In accordance with the terms of the Articles of Association of the Company the Directors have resolved to make a bonus issue of B Ordinary shares which corresponds to the first interim dividend of 10.5p per Ordinary share announced on 28 April 2015.

On 17 August 2015 the Company will capitalise GBP2,361 being part of the sum standing at credit of the realised gains reserve and the Directors will issue 1.06044 new B Ordinary shares credited as fully paid for every 100 B Ordinary shares held at close of business on the record date of 10 July 2015 (resulting in the issue of 9,443 new B Ordinary shares based upon the 890,512 B Ordinary shares in issue on the record date).

Application is being made to the UK Listing Authority and the London Stock Exchange Plc for the 9,443 B Ordinary shares of 25p each ("Shares") to be admitted to the Official List. The B Ordinary Shares will rank pari passu with the existing B Ordinary shares and will be issued in respect of the capitalisation issue in lieu of the first interim dividend. Dealings are expected to commence in the new B Ordinary shares on 17 August 2015.

Definitive certificates in respect of the new B Ordinary shares arising from the capitalisation will be posted on 17 August 2015 to holders of B Ordinary shares on the record date.
