Option Agreement

The Company announces that on 6 July 2004, Peter Elliott-Hughes, Chairman of the
Company, entered into a private option agreement (the "Option") with Robert
Jervis, a Director of the Company.

The Option grants Mr P. Elliott-Hughes the right to purchase 750,000 issued
ordinary shares from Mr. R. Jervis. The Option is exercisable at any time during
the period expiring on 31 December 2007.

The Option exercise price is #1.00 per share unless the Option is exercised
between 1 January 2005 and 31 December 2007 and the middle market price of the
Company's share price is over #1.10 per share. In this situation the exercise
price shall be the middle market price at the time of exercise less 10%.

Mr R. Jervis currently holds 1,620,993 ordinary shares of 10p per share,
representing 26.9% of the issued ordinary share capital, of which 750,000
ordinary shares are under option to Mr. P. Elliott-Hughes as set out above and
666,667 are under option to Mr. D. Ridley as announced on 8 May 2004.

Mr P. Elliott-Hughes currently holds 1,949,881 ordinary shares of 10p each,
representing 32.3% with an option over 750,000 ordinary shares of Mr. R. Jervis'
shareholding, representing 12.4% of the issued ordinary share capital.
