          Offers for Subscription of up to #20,000,000 (the 'Offers')

Noble Income & Growth VCT plc (the 'Company') announces an allotment of 604,024
new ordinary shares pursuant to the Offers on 05 April 2006. The Offer price at
which the new ordinary shares were allotted was 103p per share, calculated from
the NAV of an ordinary share on 4 April 2006, divided by 0.95 (to allow for
costs of the Offer of 5 per cent).

Following the allotment, the number of ordinary shares in issue is 4,581,869.
Dealings in the new ordinary shares are expected to commence on 06 April 2006
and definitive documents of title are expected to be dispatched within ten
business days of allotment.
