    OFEX HOLDINGS PLC - APPOINTMENT OF ADVISERS

OFEX Holdings Plc ("the Company") announces the appointment of Numis Securities
Limited ("Numis") as its nominated adviser and broker.

As part of its remuneration, the Company has granted Numis Securities Limited
an option to subscribe for 645,981 ordinary shares in the capital of the
Company (representing 3 per cent of the issued share capital of the Company).

The option is exercisable in whole or in part at any time over the period from
the date of the appointment to 26 May 2009 at an exercise price equal to the
mid-market price of an OFEX share at the close of business on 28 May 2004.
