Forthcoming AGM - Special Business 
 
Following discussions with a number of shareholders, the Board, in consultation 
with its advisers, has yesterday decided to place before shareholders at the 
forthcoming Annual General Meeting the option of voting for proposals designed 
to facilitate the return of capital to shareholders.  The proposals are subject 
to Shareholder Approval by means of a Special Resolution. 
 
The proposals to be put to the vote involve the following matters:- 
 
1.  a change of the Company's investment policy so that it becomes a realisation 
fund with the investment manager having a mandate to realise assets on behalf of 
the Company in a manner designed to preserve as much value as possible for 
shareholders; 
 
2.  the re-registration of the Company as a company incorporated under the Isle 
of Man Companies Act 2006 - the effect of this re-registration would be to make 
it easier for the Company to return capital to shareholders in advance of any 
liquidation; 
 
3.  to adopt a new memorandum and new articles of association for the purposes 
of the re-registration; and 
 
4.  conditional upon the re-registration and the adoption of a new constitution, 
to adopt a return of capital scheme whereby shareholders may be entitled to 
receive on an ad hoc basis returns of capital based on the number of shares they 
hold.
