ASIC REGISTERS PLANTIC SCHEME BOOKLET FOR DESPATCH TO SHAREHOLDERS, DEPositary
Interest Holders and OptionHolders
Plantic (AIM:PLNT) announces that the Australian Securities and Investment
Commission (ASIC) has registered the explanatory statement contained in the
Scheme Booklet attached to this announcement regarding the previously announced
scheme of arrangement between Plantic shareholders for the acquisition of all
ordinary shares in Plantic by Gordon Merchant No.2 Pty Ltd (GM), other than
those shares already held by GM (Share Scheme), and the previously announced
scheme of arrangement between Plantic optionholders for the cancellation of all
Plantic options (Option Scheme).
The Independent Board Committee of Plantic unanimously recommends that Plantic
shareholders, depositary interest holders and optionholders vote in favour of
the respective Schemes, in the absence of a superior proposal. The Independent
Board Committee Directors intend to vote all Plantic shares and Plantic options
held or controlled by them in favour of the Share Scheme and the Option Scheme
respectively, in the absence of a superior proposal.
The Share Scheme Meeting will be held at Plantic's offices located at 51 Burns
Road, Altona, Victoria, Australia on 17 November 2010 at 7:00 pm Melbourne,

17 November 2010 at 8:00am GMT.
The Option Scheme Meeting will be held at Plantic's offices located at 51 Burns
Road, Altona, Victoria, Australia on 17 November 2010 at 6:30 pm Melbourne,
Australia time. A phone link to this meeting will also be available at the
offices of Matrix Corporate Capital LLP at 1 Vine Street, London W1J 0AH, UK on
17 November 2010 at 7:30am GMT.
All shareholders, depositary interest holders and optionholders are encouraged
to vote in relation to the Share Scheme and Option Scheme respectively in
accordance with the instructions contained in the Scheme Booklet.

Plantic Technologies is based in Australia, where its head office, principal
manufacturing and research and development facilities are located. In addition
the company has a rigid packaging manufacturing plant in Jena, Germany together
with sales offices in Germany, the United Kingdom and the USA. Plantic employs

Plantic's novel polymer technology is based on the use of high-amylose corn
starch, a material derived from annual harvesting of specialized non-GM (hybrid)
corn and supplied by National Starch. The unique chemical and film-forming
properties of this type of starch allow for development of a range of
applications across conventional plastics markets. Plantic materials have a
renewable bio-content of approximately 85%. In addition to being
renewably-sourced, Plantic materials are biodegradable, home compostable, water
dispersible and compostable to American (ASTM 6400) and European (EN 13432)
standards.
