PARSEQ PLC

BY

CNH BIDCO LIMITED

POSTING OF OFFER DOCUMENT

On 21 October 2011, the Board of CNH Bidco Limited, a newly-incorporated company formed and controlled by certain of the Joint Offerors, and the Independent Directors of Parseq, announced that they had reached agreement on the terms of a recommended cash offer to be made by Bidco for Parseq (the "Announcement").

The Offer will be made at a price of 9 pence in cash for each Parseq Share to which the Offer relates.

On 27 October 2011, Bidco announced that it had received support from in aggregate 50.05% of Parseq shareholders through signed irrevocable undertakings from 14.52% of shareholders and the 35.53% shareholding owned by Rami Cassis and the Cassis Trustees.

Bidco today announces that the Offer Document relating to the Offer which contains the full terms and conditions of the Offer and the procedures for acceptance is being posted today, together with the relevant Forms of Acceptance to Parseq Shareholders.

Acceptances of the Offer should be received by no later than 1.00 p.m. on 9 December 2011 (or such later time(s) and/or date(s) as the Offeror may, with the consent of the Takeover Panel or in accordance with the Code, decide).

The procedure for acceptance of the Offer is set out in paragraph 14 of the letter from Bidco in Part II of the Offer Document and, if in relation to Parseq Shares held in certificated form, in the Form of Acceptance.

Each Parseq Shareholder's decision as to whether to accept the Offer will depend upon that person's individual circumstances. If any Parseq Shareholder is in any doubt as to the action he, she or it should take, he, she or it should seek their own independent financial advice.

If a Parseq Shareholder wishes to accept the Offer in respect of Parseq Shares held in certificated form, he, she or it should complete, sign and return the Form of Acceptance in accordance with the instructions printed on it and set out in paragraph 14 of the letter from Bidco in Part II of the Offer Document, together with the relevant share certificate(s) and/or other appropriate documents of title, so as to be received by post or by hand (only during normal business hours) at Computershare Investor Services PLC, The Pavilions, Bridgwater Road, Bristol BS99 6ZZ as soon as possible and, in any event, so as to be received by no later than 1.00 p.m. (London time) on 9 December 2011.

If a Parseq Shareholder wishes to accept the Offer in respect of Parseq Shares held in uncertificated form (that is, shares held in CREST) then acceptance should be made electronically through CREST by following the procedure set out in paragraph 14.2 of the letter from Bidco in Part II of the Offer Document, so that the TTE Instruction settles as soon as possible and, in any event, no later than 1.00 p.m. (London time) on 9 December 2011.
