                  Public Recruitment Group plc ("the Company")

                            Redemption of loan notes



On 6 September 2005 the Company announced it had reached agreement with
Granville Baird Capital Partners ("GBCP") for the redemption of #4.6 million of
loan notes held by funds advised by GBCP in exchange for 3,460,674 ordinary
shares in the capital of the Company ("the Redemption").



The Company has today posted an explanatory circular to shareholders containing
notice of an extraordinary general meeting to be held on 22 December 2005 at
which shareholders are being asked to pass the resolutions required to enable
completion of the Redemption.
