                                Issue of Shares


Further to the acquisition of the 49 per cent. of Estech Europe Limited not
already held by ReEnergy as announced on 19 July 2007, Estech LLC had not
responded to the offer. The Company has therefore implemented the compulsory
acquisition procedure under the Companies Act 2006. Accordingly, on 18 December
2007 ReEnergy issued 337,378 new ordinary shares of 5p each ("Ordinary Shares")
to Estech LLC to be held in trust by Estech Europe Limited.

Application will be made for the new Ordinary Shares to be admitted to trading
on AIM on 8 January 2008. Following this issue of Ordinary Shares, the total
number of voting rights in the Company will be 101,806,460.
