DIVIDEND PROPOSAL ROLINCO N.V.

In a meeting held on 2 March 2000, the supervisory board and the management
board of Rolinco N.V. agreed to propose to the general meeting of shareholders
to pay a cash dividend of EUR 1.12 per share for the 1999 financial year (for
the 1998 financial year, a cash dividend of EUR 0.88 was paid).

Rolinco's 1999 annual report will be published on Wednesday, 22 March 2000. The
annual general meeting  of shareholders will be convened in Rotterdam on
Thursday, 20 April 2000. Rolinco shares will be quoted ex dividend from 26 April
2000.
