VOTING RIGHTS AND CAPITAL


In conformity with the Transparency Directive's transitional provision 6, Renew
Holdings plc notifies the market of the following:


Renew Holdings plc's capital consists of 59,898,927 ordinary shares with a
nominal value of 10p each, with voting rights. Renew Holdings plc does not hold
any ordinary shares in Treasury.


Therefore, the total number of voting rights in Renew Holdings plc is
59,898,927.


The figure of 59,898,927 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Renew Holdings plc under the
FSA's Disclosure and Transparency Rules.
