VOTING RIGHTS AND CAPITAL

In conformity with the Transparency Directive's transitional provision 6 the
Company notifies the market of the following:

The Company's share capital consists of 30,000,000 ordinary income shares of 1p
each with voting rights and 9,860,000 zero dividend preference shares which
have restricted voting rights in accordance with the Articles of Association.

The above figure of 30,000,000 ordinary income shares may be used by
shareholders as the denominator for the calculations by which they will
determine if they are required to notify their interest in, or a change to
their interest in, Recovery Trust PLC under the FSA's Disclosure and
Transparency Rules.
