              SCOTTISH & NEWCASTLE PLC - RESIGNATION OF DIRECTORS

Following the Court approval yesterday of the Scheme of Arrangement approving
the acquisition of Scottish & Newcastle plc by the Heineken N.V. and Carlsberg 
A/S consortium, the process of delisting the company is now moving towards a
conclusion.

At today's final Board meeting of Scottish & Newcastle plc, Sir Brian Stewart,
Chairman, accepted the resignation of all the directors of the company with
effect from the anticipated completion date of April 28.

The four executive directors and the company secretary will be retained as
consultants to the consortium for a further three months.

Sir Brian said: "I wish to thank the board - and all our colleagues at Scottish
& Newcastle - for their hard work and dedication to the company in building a
great business for the benefit of shareholders, stakeholders, customers and
consumers."
