CONVERSION OF C SHARES


12 December 2005

Further to the announcement made on 18th November 2005, the Board of Singer &
Friedlander AIM 3 VCT plc ("the Company") announces that conversion of the C
shares has occurred today at a Conversion Ratio of 1.1368 Ordinary Shares for
every C Share held.

On conversion entitlements to fractions of Ordinary Shares have been rounded
down to the nearest whole number of shares in accordance with the terms of issue
of the C Shares.

Entitlements of C Shareholders to Ordinary Shares were calculated at 5.30 p.m.
on Friday 9th December 2005, upon closure of the C Share register.  Application
has been made to the UK Listing Authority and the London Stock Exchange for
457,020 new Ordinary Shares to be admitted to the Official List and to trading
on the London Stock Exchange's market for listed securities with effect from
8.00 a.m. today.  As a result, the listing of the C shares will be cancelled and
they will cease to trade on the main market for listed securities of the London
Stock Exchange plc.

The number of issued Ordinary Shares in the Company will therefore increase from
30,660,860 to 31,117,880.
