Disclosure and Transparency Rules - Total Voting Rights


In conformity with the transitional provisions of the Disclosure and
Transparency Rules, Singer & Friedlander AIM 3 VCT Plc confirms that its issued
share capital comprises 44,968,981Ordinary shares of 5p each with voting rights
attached of one vote per Ordinary share.

Therefore the total number of voting rights in Singer & Friedlander AIM 3 VCT
Plc as at 31 January 2008 is 44,968,981.


The above total voting rights figure may be used by shareholders as the
denominator for the calculation by which they can determine whether they are
required to notify their interests in, or a change to their interest in, Singer
& Friedlander AIM 3 VCT Plc under the Disclosure and Transparency Rules.
