               Director Shareholding, Additional Listing and TVR

The Company was informed today that Mr David Marks, Managing Director of the
Company, has today sold 2,163,121 ordinary sharers in the Company at 4p per
share, following the exercise of 833,333 options at 2.8p per share and 1,329,788
options at 1.88p per share. Following the sale, Mr Marks' interest in ordinary
shares in the Company remains at 37,500,919 ordinary shares, representing 12.03
per cent. of the enlarged issued share capital of the Company.

Application has been made for the admission of 2,163,121 ordinary shares to
trading on AIM. Admission is expected to be effective and dealings are expected
to commence on 23 February 2007.

Following the exercise of the options referred to above, the total number of
shares in SectorGuard plc in issue as at the date of this notice is 311,708,296.

The above figure may be used by shareholders as the denominator for the 
calculations by which they will determine if they are required to notify their 
interest in, or a change to their interest in, SectorGuard plc under the 
Disclosure and Transparency Rules.
