                            Director's shareholding


Strategic Retail announces that, on 17 January 2006, Sound Financial plc ("Sound
Financial"), a company of which David Mond, a director of Strategic Retail, owns
22.99% of the issued ordinary share capital, purchased 244,000 ordinary shares
of 0.5p each ("Ordinary Shares") in the Company for a consideration of #24,400.
David Mond is already interested in 1,811,985 Ordinary Shares, which represents
10.24% of the Company's issued Ordinary Shares. The purchase by Sound Financial
increases David Mond's interest in Strategic Retail to 2,055,985 Ordinary
Shares, representing 11.62% of the Ordinary Shares in issue.
