SCHEME OF ARRANGEMENT BECOMES EFFECTIVE AND BOARD CHANGES
Further to the announcement of the sanction of the Scheme by the
Court on 7 March 2018, the board of directors of Central Square
Holdings Limited ("Central Square") and the independent directors
of Styles & Wood Group plc ("Styles & Wood") are pleased to
announce that, following the delivery of the Court Order to the
Registrar of Companies today, the Scheme has now become Effective,
in accordance with its terms, and Styles & Wood is now a wholly
owned subsidiary of Central Square.
A Scheme Shareholder on the register of members of Styles &
Wood at the Scheme Record Time, being 6.00 p.m. on 8 March 2018,
will be entitled to receive 465 pence in cash for each Scheme Share
held. Settlement of the consideration to which any Scheme
Shareholder is entitled will be effected by way of the despatch of
cheques or the crediting of CREST accounts (for Scheme Shareholders
holding Scheme Shares in certificated form and in uncertificated
form respectively) as soon as practicable. The latest date for
despatch of cheques and settlement of the Cash Consideration in
relation to the Offer through CREST is on or by 22 March 2018.
Trading in Ordinary Shares on AIM was suspended with effect from
7.30 a.m. (London time) today. The admission to trading of the
Ordinary Shares on AIM is expected to be cancelled at Styles &
Wood's request with effect from 7.00 a.m. on 9 March 2018. A
further announcement will be made when the admission to listing and
to trading of the Ordinary Shares on AIM have each been
cancelled.
As a result of the Scheme having become Effective, share
certificates in respect of Ordinary Shares have ceased to be valid
documents of title and entitlements to Ordinary Shares held in
uncertificated form in CREST are being cancelled.
Board Changes
As the Scheme has now become effective, Styles & Wood
announces that the Senior Independent Non-Executive Director,
Robert Hough, has tendered his resignation and will step down from
the board of directors of Styles & Wood effective as of today's
date. Matthew Widdall, a non-executive director of Styles &
Wood has also tendered his resignation and will also step down from
the board of directors of Styles & Wood as of today's date.

Disclosure requirements of the Code

Opening Position Disclosure following the commencement of the Offer

Rule 8.3(b) applies must be made by no later than 3.30pm (London
time) on the business day following the date of the relevant
dealing.
If two or more persons act together pursuant to an agreement or
understanding, whether formal or informal, to acquire or control an
interest in relevant securities of an offeree company or a
securities exchange offeror, they will be deemed to be a single
person for the purpose of Rule 8.3.
