            RE:       Technoplast Industries Ltd - Immediate report


At the request of the Israeli Securities Authority and further to the immediate
report issued on 17 March 2004, Technoplast Industries Ltd. (hereinafter: "the
Company") has announced to the Tel Aviv Stock Exchange and to the Israeli
Securities Authority, a clarification of the following details:


1.         The guarantee given by the Company to a certain bank for the payment
of SMS' debts, amounts to approximately US$ 400,000.


2.         The portion of SMS's profits, that the Company shall be entitled to
is 15% of any of SMS's net annual profits in excess of 3,000,000 NIS, pro rata
to the Company's holdings in SMS prior to the sale of the shares, over a period
of 60 months, but in any case no more 650,000 NIS in aggregate.
