                        1999 FINAL DIVIDEND TPG

The Board of Management of TNT Post Group N.V. hereby announces that the number
of dividend rights for 1999 entitling shareholders to one new ordinary share of
NLG 1.00 par value has been set at 119.

Based on the closing price on the Amsterdam Stock Exchange of EUR 25.85 on May
30, 2000, 1/119 part represents a value of EUR 0.217.  This is 4.26% les than
NLG 0.50, the value of the final dividend in cash.

Payment of the dividend in cash and delivery of shares in connection with stock
dividend conversion will start June 8, 2000.
