          Cash Settled Exchangeable into the Cash Value of a Basket of
                      Dutch Corporate Shares (the "Notes")

On 1st July, 1998 Akzo Nobel N.V. had a 4 to 1 stock split.

Accordingly, for the purposes of Clause 3 of the Annex to the Pricing Supplement
of the Notes (the "Annex") the number of Akzo Shares has been adjusted to
1.6012.

On 29th June, 1998 there was a spin-off of TNT Post Group from Koninklijke PTT
Nederland N.V. on a 1 to 1 basis.

Accordingly, for the purposes of Clause 3 of the Annex the number of KPN Shares
in each Basket now contains 1.5977 TNT Post Group Shares together with 1.5977
KPN Shares.

Terms not defined herein shall have the same meanings as set out in the Annex.
