TPG ANNOUNCES INTERIM STOCK DIVIDEND

The Board of Management of TNT Post Group N.V. (TPG) hereby announces that the 
number of dividend rights entitling shareholders to one new ordinary share of
NLG 1.00 par value has been set at 190.

Based on the closing price on the Amsterdam Stock Exchange on September 21,
1999 of Euro 24.70 (NLG 54.43), 1/190 part represents a value of NLG 0.2865.
This is 4.51% less than NLG 0.30, the value of the 1999 interim dividend in
cash.

Payment of the dividend in cash and delivery of shares in connection with stock
dividend conversion will commence on September 27, 1999.
