Non-Executive Director Changes

Vanquis Banking Group plc is pleased
to announce the appointment of three new Independent Non-Executive
Directors: Karen Briggs, Oliver Laird and Jackie Noakes, effective
27 March 2024, with two Independent Non-Executive Directors
stepping down: Elizabeth G. Chambers and Margot James.
Karen Briggs is a qualified
accountant with over 30 years' financial services and banking
experience and has been a KPMG UK and FTI Consulting EMEA Executive
Committee member and senior leader, with focus on governance, risk
and compliance. Oliver Laird is a highly experienced CFO and
non-executive director. He has extensive finance and regulatory
experience in financial services, banking and manufacturing, having
been CFO at Lookers plc and CFO of First Direct Bank. Jackie Noakes
is a senior executive with extensive experience in large scale
financial services and banking businesses, currently Chief
Operating Officer (COO) of Phoenix Group and was previously Group
COO at Bank of Ireland.
Elizabeth G. Chambers, after having
served over two terms, and Margot James over one term, have
informed the Board of their decision to step down, and will not be
seeking re-election as Independent Non-Executive Directors at the
forthcoming AGM, and therefore will leave the Board as of 15 May
2024.

Biographies:
Karen Briggs
Karen has been a KPMG UK and FTI
Consulting EMEA Executive Committee member and senior leader and is
a qualified accountant with over 30 years' experience. Karen held
many senior leadership roles at KPMG UK, including as Head of Risk
Consulting and Head of Tax, Pensions and Legal Services. Throughout
her career she has had a focus on financial services, governance,
risk and compliance, AI, big data and technology. Karen is a NED of
the Invictus Games Foundation Board, Chair of the Audit & Risk
Committee and Independent Council member at Imperial College
London, Strategic Adviser to Eversheds Sutherland International and
a NED and Chair of the Audit & Risk Committee at Chubb
Underwriting Agencies Ltd (Designate). She is also an Advisory
Council Member for Elevate City, a women's leadership
network.
Oliver Laird
Oliver is a highly experienced Chief
Finance Officer (CFO) and non-executive director. He has extensive
finance and regulatory experience in financial services and
banking, manufacturing and consultancy having been CFO at Lookers
plc, CFO of First Direct Bank, Director Central Finance at Lloyds
Banking Group and Finance Director of Co-Op Insurance Services.
Oliver was also CFO at CPP Group plc, a multi-national financial
services business, from 2017 to 2021. Oliver has also held
non-executive director roles with a social housing provider, the
British Council, Leeds University Union and Beverley Building
Society, where he is Audit Committee Chair.
Jackie Noakes
Jackie is a senior executive with
extensive experience in large scale financial services and banking
businesses, having performed roles as CEO, Chief Operating Officer,
and Chief Information Officer. Jackie has non-executive experience
in Mutuals and listed businesses. She joined the Bank of Ireland
(BOI) in 2018 as Group Chief Operating Officer and played a key
role in delivering the bank-wide IT transformation programme.
Between 2018 and 2022 Jackie held the role of non-executive
director of BOI (UK) Plc. Jackie also held a number of senior roles
at Legal & General (L&G) including as chief executive of
L&G's mature savings business and group IT and shared services
director. Between 2020 and 2022, Jackie was a non-executive
director at One Family (the Family Assurance Friendly Society
Ltd).
