Explanation of Responses:
( 1)  Vests in equal quarterly amounts on each April 12, 2011 to 2014; vesting accelerates upon change in control of the Company; reporting person must be affiliated with the Company at the time of vesting.
( 2)  Includes (i) 63,308 shares held jointly with his wife; (ii) 4,998 shares held in trust for reporting person's adult daugher; (iii) 2,000 shares which vest on June 10, 2010, with accelerated vesting upon death, permanent disability or change of control of the Company; and (iv) 12,000 shares of non-vested restricted stock (see Note 1 above); does not include (a) 68,000 shares held by reportong person's wife in trust for their son; and (b) 112,586 shares solely in his wife's name.
( 3)  The reporting person disclaims beneficial ownership of the shares solely in his wife's name and in his son's trust (see Note 2), and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.
