Item 8.01. Other Events.

On May 31, 2012, Encore Bancshares, Inc. issued a press release announcing that the Board of Governors of the Federal Reserve System has approved the application of Cadence Bancorp, LLC to acquire Encore through the merger of Encore with and into a wholly owned subsidiary of Cadence Bancorp, LLC. A copy of the press release is attached hereto as Exhibit 99.1, and is incorporated by reference herein.
