The Board of Directors is divided into three classes, each with three-year staggered terms,
with approximately one-third of the directors elected each year. At the annual meeting, stockholders will elect two directors to each serve a term of three years. The nominees for election to serve a
three-year term are Joseph Sachetta and Susan Sgroi, both of whom are current directors of the Company and the Bank.
Unless you indicate
on your proxy card that your shares should not be voted for certain directors, the Board of Directors intends that the proxies solicited by it will be voted for the election of all of the Boards nominees. If any nominee is unable to serve, the
persons named in the proxy card will vote your shares to approve the election of any substitute proposed by the Board of Directors. Alternatively, the Board of Directors may adopt a resolution to reduce the size of the Board. At this time, the Board
Directors knows of no reason why any nominee might be unable to serve.
