On July 9, 2012, EDGAR ^® Online, Inc. (the “Company”) issued a press release announcing that it has received notice from the United States Federal Trade Commission of early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 in connection with the previously announced merger of EDGAR ^® Online, Inc. and R.R. Donnelley & Sons Company. A copy of such press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
