Item 2.02 Results of Operations and Financial Condition.
On March 16, 2023, Heart Test Laboratories, Inc. (the "Company") issued a press release providing information regarding the Company's financial and operating results for the quarter ended January 31, 2023, and other business updates. The press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 15, 2023, the Board of Directors of Heart Test Laboratories, Inc. (the "Company") adopted the 2023 Equity Incentive Plan (the "Equity Incentive Plan"), subject to stockholder approval. The Equity Incentive Plan provides for the grant of nonstatutory stock options, incentive stock options, restricted stock, restricted stock units, performance units, performance shares, and other share-based awards. All of the Company's employees, officers and directors, as well as consultants and advisors, are eligible to receive awards under the Equity Incentive Plan.
