Item 8.01

Other Events.

On March 26, 2021, Khosla Ventures Acquisition Co. III (the “Company”) consummated its initial public offering (the “IPO”) of 50,000,000 shares of Class A common stock of the Company, par value $0.0001 per share (each, a “Public Share”). The Public Shares were sold at a price of $10.00 per Public Share, generating gross proceeds to the Company of $500,000,000.

Substantially concurrently with the closing of the IPO, the Company completed the private sale of 1,300,000 shares of Class A common stock of the Company, par value $0.0001 per share (the “Private Placement Shares”) at a purchase price of $10.00 per Private Placement Shares, to the Company’s sponsor, Khosla Ventures SPAC Sponsor III LLC, generating gross proceeds to the Company of $13,000,000.

A total of $500,000,000 comprised of proceeds from the IPO and the sale of the Private Placement Shares, was placed in a U.S.-based trust account at JP Morgan Chase Bank, N.A., maintained by Continental Stock Transfer & Trust Company, acting as trustee. An audited balance sheet as of March 26, 2021 reflecting receipt of the proceeds upon consummation of the IPO and the sale of the Private Placement Shares has been issued by the Company and is included as Exhibit 99.1 to this Current Report on Form 8-K.
