EXPLANATORY
NOTE
This
registration statement is filed by Lucid Diagnostics Inc. (the “Company”) to register an additional 4,018,163 shares of the
Company’s common stock issuable pursuant to the Company’s Amended and Restated 2018 Long-Term Incentive Equity Plan (the
“Plan”), consisting of additional securities in accordance with Section 3.1 of the Plan, and consists of only those items
required by General Instruction E to Form S-8. The Company hereby incorporates by reference into this registration statement the contents
of the prior registration statement on Form S-8 relating to the Plan, filed with the Securities and Exchange Commission (the “SEC”)
on December 21, 2021 (File No. 333-261807), February 10, 2023 (File No. 333-269702) and February 6, 2024 (File No. 333-276908).
