Explanation of Responses:
( 1)  The option was granted on July 20, 1999, pursuant to the MFB Corp. 1997 Stock Option Plan for a term of ten years from the date of grant and became exercisable with respect to one-third of the shares covered by the option on each of the first three anniversaries of the date of grant.
( 2)  The option was granted on December 18, 2001, pursuant to the MFB Corp. 1997 Stock Option Plan for a term of ten years from the date of grant and became exercisable with respect to all shares covered by the option on January 1, 2002.
( 3)  The option was granted on November 19, 2002, pursuant to the MFB Corp. 2002 Stock Option Plan for a term of ten years from the date of grant and became exercisable with respect to all shares covered by the option six months after the date of grant.
