aggregate market value of the registrant’s common stock held by non-affiliates, based on the closing price of the registrant’s
common stock as reported on the NASDAQ Global Market on June 30, 2022, the last business day of the registrant’s most recently
completed second fiscal quarter, was approximately $829.6 million. For purposes of this calculation, it has been assumed that all
shares of the registrant’s common stock held by directors, executive officers and stockholders beneficially owning ten percent
or more of the registrant’s common stock are held by affiliates. The treatment of these persons as affiliates for purposes of this
calculation is not conclusive as to whether such persons are, in fact, affiliates of the registrant.

The Company is filing this Amendment No. 1 (the “Amendment”)
to our Annual Report on Form 10-K for the fiscal year ended December 31, 2022, which was filed on March 16, 2023 (the “Form 10-K”),
to provide financial statements for Babcock & Wilcox Enterprises, Inc. (“Babcock & Wilcox”), pursuant to Rule 3-09
of Regulation S-X as of December 31, 2022 and 2021 and for the years ended December 31, 2022, 2021 and 2020. Babcock & Wilcox was
significant under Rule 3-09 for the year ended December 31, 2022.
Except as otherwise expressly noted, this Amendment
does not modify or update in any way (i) the consolidated financial position, the results of operations or cash flows of the Company,
or (ii) the disclosures in or exhibits to the Form 10-K; nor does it reflect events occurring after the filing of the Form 10-K. Among
