Effect of Delaware Anti-Takeover Statute
. We are subject to Section 203 of the
Delaware General Corporation Law, an anti-takeover law. In general, Section 203 prohibits a Delaware corporation from engaging in any business combination with any interested stockholder for a period of three years following the date that the
stockholder became an interested stockholder, unless:

stockholder, and any entity or person affiliated with or controlling or controlled by any of these entities or persons.
Certificate of
Incorporation and Bylaws
Preferred Stock.
Under our amended and restated certificate of incorporation, as amended, our Board of
Directors has the power to authorize the issuance of up to 10,000,000 shares of preferred stock, all of which remain undesignated, and to determine the price, rights, preferences, privileges and restrictions, including voting rights, of those shares
without further vote or action by our stockholders. The issuance of preferred stock may:

Our amended and restated bylaws provide that special

Advance Notice Requirement.
Stockholder proposals to be brought before an annual meeting of our stockholders must comply with advance
notice procedures. These advance notice procedures require timely notice and apply in several situations, including stockholder proposals relating to the nominations of persons for election to our Board of Directors. Generally, to be timely, notice

The senior debt securities will be unsecured and will rank equally in right of payment to all our other senior unsecured debt. The senior
