investigating potential claims against the board of directors of
Standard Microsystems Corporation (“Standard Microsystems” or the
“Company”) (NASDAQ GS: SMSC) over the Company’s entry into an
definitive agreement to be acquired by Microchip Technology

transaction valued at approximately $939 million.
