Explanation of Responses:

(1)

On May 15, 2020, SORL Auto Parts, Inc. ("Issuer") completed the merger pursuant to that certain agreement and plan of merger dated as of November 29, 2019 ("Merger Agreement"), by and among Issuer, Ruili International Inc., a Delaware corporation ("Parent"), and Ruili International Merger Sub Inc., a Delaware corporation and wholly owned subsidiary of Parent ("Merger Sub"). Pursuant to the Merger Agreement, Merger Sub was merged with and into Issuer (the "Merger"), with Issuer surviving the Merger as a wholly owned subsidiary of Parent. Mr. Huilin Wang is entitled to receive US$4.72 in cash, without interest, for each share of common stock of the Issuer he beneficially owns.
