On February 1, 2022, SurgePays, Inc. (the “Company”) issued a press release in which, as part of a letter to shareholders, the Company reported preliminary revenue and loss from operations results for the fiscal year ended December 31, 2021. A copy of the Company’s press release is attached hereto as Exhibit 99.1.
