Levetown & Jenkins, LLP Announces an Investigation of the Acquisition of Thermadyne Holdings Corporation by Irving Place Capital

Levetown & Jenkins, LLP is conducting an investigation into alleged breaches of fiduciary duties and violations of state law by Thermadyne Holdings Corporation (“Thermadyne”) (Nasdaq:THMD) and its Board of Directors in conjunction with their efforts to sell Thermadyne to affiliates of Irving Place Capital, a middle-market private equity firm. Under the terms of the proposed transaction, Thermadyne shareholders will only receive $15.00 in cash for each share of Thermadyne common stock they own, which represents a premium of less than 2% over the closing price on October 4, 2010. The transaction, which expected to be completed in December of 2010, is valued at approximately $422 million.
