ConAgra Foods, Inc. HARTFORD, Conn., July 12 /PRNewswire/ -- The

securities fraud, announces that a lawsuit seeking class action
status has been filed in the United States District Court for the
District of Nebraska on behalf of all persons who purchased the
common stock of ConAgra Foods, Inc. (NASDAQ:CAG) ("ConAgra")
between September 18, 2003 and June 7, 2005 (the "Class Period").

announced that it would be restating its financial statements for

announced that its fiscal 2005 fourth quarter would be lower than
expected primarily due to continued weak profitability in its
