ITEM 3.01     NOTICE OF DELISTING OR FAILURE TO SATISFY A CONTINUED LISTING RULE OR STANDARD; TRANSFER OF
                        LISTING

On October 2, 2008, NYSE Regulation, Inc. (“NYSE Regulation”) issued a press release announcing its decision to suspend the common stock of Chesapeake Corporation (the “Company”) from trading on the New York Stock Exchange (“NYSE”) prior to the market opening on Wednesday, October 8, 2008.  The decision to suspend trading and initiate delisting procedures is a result of the Company not satisfying the NYSE’s continued listing standard regarding average global market capitalization over a consecutive 30 trading day period of not less than $25 million, which is the minimum threshold for continued listing.

As indicated in the NYSE Regulation press release the Company expects to commence trading on the OTC Bulletin Board on October 8, 2008.  The Company expects to confirm its arrangements for trading on the OTC bulletin Board and the trading symbol for the Company’s stock prior to October 8, 2008.
