"HealthSpring" or the “Company”) to Cigna Corporation (“Cigna”) in
a cash transaction valued at approximately $3.8 billion.
Under the terms of the agreement, Cigna will acquire all the
outstanding shares of HealthSpring for $55 per share in cash.
