Helios Total Return Fund, Inc. Announces the Completion of Its Rights Offering

Helios Total Return Fund, Inc. (NYSE:HTR) (the "Fund") announces
the completion of its transferable rights offering (the "Offer")
which raised approximately $75 million of gross proceeds. The
record date of the Offer was September 20, 2012 ("Record Date"),
and the Offer expired on October 19, 2012 (the "Expiration Date").
Shareholders of record received one right for each outstanding
share of common stock ("Common Share") owned as of 5:00 p.m.
Eastern time on the Record Date. The rights entitled holders to
purchase one new Common Share of the Fund for every three rights
held (1-for-3), except that record date common shareholders who
were issued fewer than three rights were entitled to subscribe for
one common share of the Fund. The subscription price was $21.50 per
Common Share and was determined based upon a formula equal to 90%
of the average of the last reported sales price of a common share
of the Fund on the NYSE on the Expiration Date and each of the four
preceding trading days. The Offer was oversubscribed. Common Shares
will be issued promptly after completion of shareholder payments
expected on or about Friday, October 26, 2012.
