On September 19, 2016, Press Ganey Holdings, Inc . (the Company) issued a press release announcing the expiration of the go-shop period established pursuant to the Agreement and Plan of Merger, dated as of August 9, 2016, by and among Emerald Topco, Inc., a Delaware corporation (Parent), Emerald Bidco, Inc., a Delaware corporation and wholly owned subsidiary of Parent (Merger Sub) and the Company.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
