Under the terms of the agreement, RiskMetrics stockholders will receive cash of $16.35 and 0.1802 shares of MSCI in exchange for each share of RiskMetrics common stock. Top executives of RiskMetrics and certain shareholders have collectively agreed to vote approximately 54% of Riskmetrics’ stock in favor of the proposed transaction. However, the Company may not have adequately shopped itself around before entering into this transaction and, pursuant to this proposed transaction, MSCI may be underpaying for RiskMetrics, thus unlawfully harming RiskMetrics shareholders.
