KIRKLAND LAKE, ON, Aug. 23, 2012 /CNW/ - Glenn C. Kasner ("G. Kasner") (4 Al Wende Avenue, Kirkland Lake, Ontario, P2N 3J5) announces that, pursuant to a transfer from Robert Kasner ("R. Kasner"), he has acquired beneficial ownership of, and/or control or direction over, 654,140 Class B multiple voting shares (the "Shares") of RJK Explorations Ltd. (the "Company"). Prior to the transfer of the Shares, G. Kasner beneficially owned and/or exercised control or direction over 414,213 Class A subordinate voting shares of the Company (each, a "Class A Share"), representing approximately 0.49% of the issued and outstanding Class A Shares on an undiluted basis, and 200,000 Class B multiple voting shares of the Company (each, a "Class B Share"), representing approximately 23.42% of the issued and outstanding Class B Shares. Following the transfer of the Shares, G. Kasner now beneficially owns and/or exercises control or direction 854,140 Class B Shares, representing 100% of the issued and outstanding Class B Shares. The number of Class A Shares owned, controlled and/or directed by G. Kasner did not change. The Shares were transferred to G. Kasner, outside of any market or other facility, by R. Kasner as a gift and no consideration was paid in connection therewith. G. Kasner may, in the future, increase or decrease his ownership of securities of the Company, directly or indirectly, from time to time depending on the business and prospects of the Company and future market conditions.
