Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 18, 2024, Thomas T. Gilpin notified the Board of Directors of Eagle Financial Services, Inc. (the “Company”) that he intends to retire from the Board of Directors of the Company and its subsidiary bank, Bank of Clarke, at the Company’s 2025 annual meeting of shareholders (the “Annual Meeting”) and will not stand for re-election to the Board of Directors of the Company at the Annual Meeting.

Mr. Gilpin serves as Chair of the Board of Directors and has served as a director since 1986. The Corporate Governance and Nominating Committee of the Board of Directors is reviewing and assessing plans for the Chair position and anticipates recommending a current director for appointment as Chair to succeed Mr. Gilpin.
