Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 9, 2009 Robert T. Geras resigned from his position as a director of Enable Holdings, Inc. (the “Company”) for personal reasons.  The remaining four members of the Company’s Board of Directors have initiated the process of replacing this open board seat as soon as possible.
