ITEM 5.02—DEPARTURE OF DIRECTORS AND CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS
As of September 20, 2019, the Registrant is contemplating the appointment of Mr. Rahul Krishna as Interim Chief Human Resources Officer (CHRO). Mr. Krishna is a management expert and conglomerate business leader with deep, varied, and established industry credentials in Organization Development, Leadership Development, Change Management, Employer Branding and Communication. He was one of the youngest Human Resources Head of a Tata Group Company and also the youngest Head of Tata Administrative Services (TAS). He holds the distinction of taking TAS to the top position on the annual AC Neilsen Survey (now Nielsen Survey) of the most preferred employers at premium Business Schools in India during his tenure. Mr. Krishna has also worked as the Group Head for Organizational Development & Talent Management for the Avantha Group, valued at USD $4 billion with around 25,000 employees, where he established and successfully institutionalized the Avantha Development Centre and the Avantha Way by creating a common talent management framework across all nine Avantha Group Companies. He also has worked with leading multinational companies like Coca Cola and Seagram (now Pernod Ricard). As Interim CHRO for the Registrant, Mr. Krishna would be charged with developing the Registrants human resource framework and employer brand apart from running a comprehensive talent management framework for the Registrant.
Well versed in most leading behavioral and talent assessment tools, Mr. Krishna a certified Hogan Professional, a Lominger-certified learning agility professional, and a certified Barrett Values specialist. He is a graduate of Jawaharlal Nehru University, New Delhi and holds a masters degree in Personnel Management from Pune University, India.
The Company is actively negotiating Mr. Rahul Krishnas contractual terms of appointment and once finalized his engagement contract with the Registrant would be reported to the SEC as it mandates.
